Terms of Service

These terms govern your use of the Whitelabel AI Corporation platform and services.

Who we are and what we do

Whitelabel AI Corporation offers AI conversational services including RAG-grounded chat companions, payment processing, and technology consulting. It is not a nonprofit and does not solicit tax-deductible donations directly; it provides tools enabling verified organizations to accept contributions.

Eligibility and accounts

Account creators must be authorized representatives of their organization, provide truthful information, and maintain credential security. Users assume full responsibility for account activities.

Scope of services

AI Conversational Services: hosted models, retrieval systems, knowledge management, and performance metrics. Customers retain control over approved materials and may activate governance features.

Payments and Checkout: processing occurs through partner processors like Finix. Whitelabel or its partners serve as merchant of record and handle fund disbursement.

Role of Whitelabel

Whitelabel is a service provider and facilitator, not an agent or fundraiser. It provides no legal, medical, or financial advice. Organizations remain solely responsible for content, compliance, and charitable registrations.

Customer content and license

Customer Content encompasses documents, data, prompts, and end-user information submitted to the platform. Whitelabel receives a non-exclusive, worldwide license to host, process, and display such content for operational purposes.

Whitelabel does not train foundation models on private customer content or conversation logs. De-identified and aggregated data may support product development, analytics, and service improvements, provided it cannot reasonably identify individuals and re-identification is not attempted.

Customers represent they possess all necessary rights to provided content and that it violates no laws or third-party interests.

Model outputs and accuracy

AI systems may generate incorrect or incomplete information. Users bear responsibility for human review in high-impact domains like healthcare, law, finance, and safety.

Whitelabel disclaims warranties regarding output accuracy or fitness for specific purposes. Unless agreed otherwise, users own generated outputs subject to third-party rights and applicable law.

Acceptable use

Users may not use the platform to:

  • Breach law or third-party rights
  • Upload illegal, harmful, defamatory, or infringing material
  • Construct competing foundation models or extract model parameters
  • Deliver emergency guidance without proper human oversight
  • Execute spam, phishing, or security interference

Whitelabel may suspend or terminate access to address violations or mitigate risks.

Privacy and data handling

Whitelabel collects minimal personal and transactional data necessary for platform delivery and legal compliance. Where customers deploy the platform to their own end users, customers act as data controllers and Whitelabel serves as processor under the Data Processing Addendum.

Customers must provide appropriate notices and obtain required consents for AI-assisted outreach. Payment card data remains outside the platform, handled by payment processors as merchant of record.

Whitelabel does not train foundation models on private customer content or conversation logs. Consult the Privacy Policy for details on data categories, retention, subprocessors, and user rights.

Security

Whitelabel maintains industry-standard protections including encryption in transit and at rest, access controls, logging, and auditing. Incident response procedures are maintained, with notification provided as legally required for data-security incidents affecting user information.

HIPAA and PHI

The platform is not a HIPAA environment by default. Organizations requiring HIPAA compliance must obtain HIPAA-configured deployments with partner support and execute a Business Associate Agreement before submitting Protected Health Information.

Do not upload PHI without both a HIPAA-configured deployment and signed BAA.

Health disclaimer (non-medical nature of services)

The platform is for educational, informational, and self-management purposes only. It provides no medical advice, diagnosis, or treatment, and is never a substitute for qualified healthcare provider consultation.

Always consult physicians or pharmacists regarding health concerns. The platform is not a medical device and has not received FDA, EMA, or other regulatory approval.

The platform cannot connect users to emergency services; call 911 or local emergency numbers for medical emergencies. Users assume all risk associated with platform use and reliance on its outputs.

Payments, fees, and taxes

Processing occurs through Finix and acquiring partners. Wallet usage follows provider terms. Whitelabel charges negotiated service fees, automatically deducted unless otherwise arranged.

Users bear responsibility for taxes related to campaigns and contributions. Card statements may show Whitelabel or partner as the charging entity; net proceeds transfer to designated accounts per payout schedules.

Donations, refunds and chargebacks

Contributions processed through the platform are generally non-refundable, though case-by-case refunds may be granted or required by law or network rules. Users authorize chargeback and dispute handling.

All solicitations originate from the nonprofit partner, which must maintain required registrations and permits.

Compliance and high-risk use

Users must comply with applicable laws including AML, sanctions, privacy, consumer protection, healthcare, and card-network regulations.

High-risk applications such as diagnostics, emergency services, or critical infrastructure require explicit written approval and appropriate safeguards.

Third-party services

The platform integrates third-party services including Finix, CRMs, cloud providers, and model providers. Their respective terms and privacy policies govern; Whitelabel bears no responsibility for their performance or conduct.

Service levels and support

Without a specified service-level agreement, the platform is provided as-is without uptime guarantees. Commercially reasonable support is available during business hours and maintenance windows.

Intellectual property

Whitelabel owns or licenses all platform intellectual property except Customer Content and licensed third-party materials. Users grant Whitelabel a perpetual, royalty-free license to use feedback and suggestions for platform improvement.

Beta and preview features

Features designated as Beta, Preview, or Early Access are experimental, may change or discontinue, and are provided as-is without warranties or commitments.

Confidentiality

Each party may access the other's confidential information. Recipients must apply reasonable safeguards, limit access to essential personnel, and avoid disclosure except as necessary to deliver the platform or as legally mandated.

Term, suspension and termination

These Terms apply throughout platform use. Whitelabel may suspend or terminate access for violations, security risks, or non-payment.

Upon termination, final payouts process per legal and processor timelines. Users may request data export before termination.

Disclaimers

The platform, AI models, outputs, and integrations are provided as is and as available. Whitelabel disclaims all warranties, express or implied, including merchantability, fitness for particular purposes, and non-infringement, and does not warrant output accuracy or transaction reliability and security.

Limitation of liability

To the maximum extent permitted by law, Whitelabel, affiliates, and partners bear no liability for indirect, incidental, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill.

Total aggregate liability cannot exceed the greater of twelve months service fees paid or one hundred U.S. dollars.

Users consent to individual claims only, waiving class or representative actions. Disputes resolve through binding arbitration under American Arbitration Association rules, conducted in English in New York County, New York, with jury trial waived. Certain jurisdictions may limit these restrictions to their minimum permissible extent.

Indemnification

Users agree to defend and indemnify Whitelabel, its officers, directors, employees, and partners against claims, damages, or expenses arising from user content, platform use, campaigns or payouts, or violations of these Terms or applicable law.

Governing law and disputes

These Terms are governed by New York State law without regard to conflict-of-law principles. Parties consent to exclusive jurisdiction and venue in New York County state and federal courts, except where arbitration applies.

Changes to the terms

Whitelabel may update these Terms periodically. The Last Updated date reflects changes, with notice provided where required. Continued platform use after changes take effect constitutes acceptance.

Exhibit A: Payments and Wallets (summary)

Whitelabel or payment partners serve as merchant of record for card and wallet transactions. Card statements may reflect either entity's name. Wallet providers may restrict donation labels to verified nonprofits; Whitelabel processes transactions as standard merchant payments with proceeds remitted to designated recipients.

Chargebacks and refunds follow network rules; amounts may offset future payouts. Customers must comply with fundraising, solicitation, AML, sanctions, and consumer-protection laws.

Exhibit B: AI and RAG governance (summary)

Customers approve and manage knowledge sources, bearing responsibility for their rights and accuracy. Tone controls, approvals, audit trails, and escalation logic are configurable.

High-risk or clinical applications require human review and, where applicable, a BAA. De-identified analytics and audit logs may be provided; identifiable analytics depend on lawful basis and configuration.

Foundation and generalized models are not trained on private Customer Content. De-identified and aggregated data support operations as described in the Customer content section and the DPA. Users own outputs generated from their inputs, subject to third-party rights.
